About the Department

Transaction Advisory Services (TAS) at Nexdigm provides end-to-end advisory support on mergers, acquisitions, divestitures, and joint venture transactions. The team supports clients across the full deal lifecycle—from partner identification and evaluation to business modelling, financial due diligence, transaction structuring, negotiation support, deal documentation and closure. With a strong understanding of ground realities and a project management approach, the practice delivers practical, execution-focused advisory on transactions ranging from USD 10 million to USD 200 million across industries.

Key Result Areas:

  •        Delivered high-quality client materials such as teasers, pitch books, information memorandums, and management presentations that effectively communicated transaction opportunities and enhanced client engagement.

  •        Produced structured industry and company research reports highlighting market position, product portfolio, synergies, and key risks, enabling informed decision-making

  •        Analyzed financial statements and business models to generate insights that supported transaction feasibility, structuring considerations, and strategic recommendations.

  •        Prepared financial models, business plans, and scenario analyses and validated assumptions that strengthened transaction evaluation, valuation and negotiations, and decision-making.

  •        Conducted financial due diligence by analyzing data, reviewing documents, and drafting deliverables, ensuring risk mitigation and transparency in transactions.

  •        Streamlined data gathering and analysis for transactions, providing accurate inputs that improved efficiency and reliability of deal execution.

  •        Identified and shortlisted potential targets and investors, accelerating the screening process and improving transaction outcomes.

  •        Provided commercial inputs into transaction structuring and supported reviews of term sheets and definitive agreements, strengthening deal terms and compliance.

  •        Supported project management of transactions, ensuring timely delivery of milestones, effective coordination with stakeholders, and smooth execution of engagements.

Required Competencies, Skills & Experience:

  •        1–2 years of relevant work experience in transaction advisory, financial due diligence, audit, advisory, consulting, or related roles

  •        Prior exposure to Big 4 or reputed professional services firms is preferred

  •        Understanding of M&A and joint venture transactions, financial statements and accounting principles, Company Law and transaction-related regulatory frameworks is desirable

  •        Experience in project management including planning, organizing, coordinating, and managing clients

  •        Strong verbal and written communication and inter-personal skills

  •        Strong analytical and problem-solving skills with high attention to detail

  •        Well-rounded commercial and economic awareness

  •        Strategic thinking and ability to identify synergies, risks, and deal opportunities.

  •        Strong interpersonal skills and ability to work collaboratively in team-based environments

  •        High proficiency in MS Office (Excel, PowerPoint, and Word)
